1. Eligibility and Accounts

• You must be at least 18 years old and able to form a binding contract to use the Product.
• You must have a valid, eligible professional (Business or Creator) Instagram and/or Facebook account, and, where applicable, a Shopify store, to use certain features.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You agree to provide accurate, current, and complete information when creating an account and to keep it updated.

2. Description of Product

• Consolidating comments into a single inbox;
• Generating AI-drafted replies based on connected business information (e.g., Shopify products, FAQs, policies);
• Identifying and prioritizing comments that may require human review (e.g., complaints, refund requests, negative comments);
• Enabling manual review/approval or automated posting of eligible replies, based on your configuration.

3. Third-Party Platform Integrations

• The product integrates with Meta (Instagram/Facebook) and Shopify APIs. Your use of these integrations is also subject to Meta's and Shopify's respective terms of product and policies.
• You represent that you have the necessary rights and authorization to connect your Instagram, Facebook, and Shopify accounts to the Product.
• We are not responsible for changes, interruptions, restrictions, or discontinuation of third-party APIs or platforms that may affect the functioning of the Product.
• You may disconnect any integration at any time through your account settings or the relevant third-party platform.

4. AI-Generated Content

• The Product uses artificial intelligence to draft or, if configured by you, automatically post replies to comments based on the business information you connect.
• AI-generated replies may contain errors, inaccuracies, or omissions. You are solely responsible for reviewing and approving content before it is sent, where manual review is enabled, and for configuring automation settings appropriately where automatic posting is enabled.
• You acknowledge that enabling automatic posting means replies may be published without prior human review, and you accept full responsibility for the consequences of that configuration.
• We do not guarantee that the AI will correctly identify or escalate every complaint, refund request, or sensitive comment, and you remain responsible for monitoring your account's comment activity.

5. Acceptable Use

• Violate any applicable law, regulation, or third-party rights (including Meta's and Shopify's platform policies);
• Post or generate spam, misleading, fraudulent, defamatory, harassing, hateful, or otherwise unlawful content;
• Impersonate any person or entity, or misrepresent your affiliation;
• Attempt to gain unauthorized access to the Product, other accounts, or connected third-party systems;
• Reverse-engineer, decompile, or attempt to extract the source code of the Product, except as permitted by law;
• Use the product to process data you do not have the legal right or authorization to process (e.g., another business's Instagram account without permission);
• Interfere with or disrupt the integrity or performance of the Product.

6. Subscription, Fees, and Billing

• Certain features of the Product require a paid subscription. Our pricing page describes applicable fees, billing cycles, and plan features.
• Fees are billed in advance on a recurring basis (monthly or annually, as selected) and are non-refundable except as required by law or as expressly stated in these Terms.
• We may change our fees upon reasonable prior notice. Continued use of the Product after a fee change takes effect constitutes acceptance of the new fees.
• You are responsible for providing accurate billing information and for any taxes applicable to your subscription.
• We reserve the right to suspend or terminate access for non-payment.

7. Intellectual Property

• The Product, including its software, design, trademarks, and content (excluding your own business content and customer comment data), is owned by ReplyAuto AI and protected by intellectual property laws.
• You retain ownership of the business information, content, and data you upload or connect to the product.
• You grant us a limited, non-exclusive, worldwide license to use, process, and store your content solely as necessary to provide and improve the Product.
• You may not copy, modify, distribute, sell, or lease any part of the Product without our prior written consent.

• THE PRODUCT IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.
• We do not guarantee that the product will be uninterrupted, error-free, or secure, or that AI-generated content will be accurate, appropriate, or free of errors.
• We do not guarantee any particular business outcome (e.g., sales, engagement, or customer satisfaction) resulting from use of the Product.

• You may cancel your subscription at any time through your account settings or by contacting us.
• We may suspend or terminate your access to the product, with or without notice, if you violate these Terms, fail to pay applicable fees, or engage in conduct that we determine, in our reasonable discretion, may harm the product, other users, or third parties.
• Upon termination, your right to use the product will immediately cease, and we may delete your account data in accordance with our Privacy Policy and data retention practices.
